NGX N.V, a company located in Curaçao, has, through these Terms of Use and Conditions (“Terms”, “Instrument”), established the parameters and conditions of use of the services offered to its users in general (“Users”) of the platform, covering both users of gaming and betting sites (“Player-User”) and platform users (“Platform-User”).

In addition, it is recommended that you read the Privacy Policy, Cookies Policy and Data Holders Policy, all available on our website, so that the uses of user data in the provision of services by our provider platform are understood. gaming and betting.

By continuing to use the NGX website and platform, it is understood that the User is aware of and agrees with these Terms, understanding them in their entirety and not presenting any opposition to them.

Furthermore, it is the User's responsibility to read and review all of these Terms at the beginning of their browsing session.

By agreeing to these Terms, the document becomes a common agreement between the parties, configuring the free conclusion of a legally binding contract.

1 – Purpose of the Terms and Platform Change

These Terms are intended to clarify the service relationship provided by NGX, regarding the provision of software and platform for gaming and betting sites/operators of different types, regardless of their nature and/or type.

This means that, in addition to these Terms, the User-Better must also submit to the Terms of Use and Conditions and Policies of gaming and betting operators.

These Terms may be updated or changed at any time, and without prior notice to Users, and it is their duty, when accessing the NGX platform, to consult and read this Instrument, knowing its most recent content.

Likewise, the platform may undergo updates, for any reason, or changes, so Users automatically agree to these changes when consenting to these Terms, which apply to any updates or changes.

2 – Use and Intellectual and Industrial Property

Through Users' agreement with these Terms, NGX grants access and use of the website and information about its platform, and may, in the event of non-compliance with any of these Terms, revoke access and use, immediately terminating Users' browsing.

All content found on the NGX website and platform is its exclusive property, including watermarks, logos, slogans, brands, trade names, software, images, graphics, photographs, text, animations, videos, audios and/or music, with the exception of express mention when using third party properties, therefore the collection, reproduction, elimination, appropriation, or any improper use of NGX property is prohibited. Therefore, Users acknowledge that, when using the website and platform, they do not obtain any rights in relation to NGX's Industrial and Intellectual Properties, in accordance with these Terms.

All Brazilian and international legislation, including treaties between countries and federation units, apply and protect the NGX platform and software.

Users are prohibited from:

2.1. Modification or copying, in part or in full, of the NGX platform;

2.2. The use of materials on the NGX platform for any commercial purpose and/or public provision other than that agreed in a commercial agreement;

2.3. Reverse engineer, fragment or deconstruct the platform, part of it, or any software that contains it, as well as access or attempt to access its matrix codes;

2.4. Remove any intellectual or industrial property owned by NGX, or that NGX has chosen to make available on its platform or website;

2.5. Sell, assign, exchange, distribute, rent, license or translate the platform or any of its content and/or software to third parties;

2.6. Mirror the NGX platform, in whole or in part, on any other server, website, or transfer its content, except when expressly permitted.

3 – Conditions of Use

By accepting the Terms, the User guarantees:

3.1. Not be under 18 (eighteen) years of age and not be a person absolutely incapable or relatively incapable of performing civil acts;

3.2. Understand and accept that NGX is not responsible for providing any legal advice or providing representation in relation to the Platform User's Use of the Platform;

3.3. Understand and accept that NGX is not responsible for providing any legal advice or ensuring representation in relation to the User-player's use of gaming and betting sites;

3.4. Expressly accept that the use of the platform, as well as any betting platform, is at the User's entire risk;

3.5. Expressly accept that the provision of the NGX software supply service is based on all regulatory guidelines related to betting regulation, regardless of modality and/or type;

3.5. Expressly accept that the platform may have its use or access restricted in certain jurisdictions, which must be observed by Users;

3.6. Identify yourself, when creating a login account on the platform, providing all the requested data, guaranteeing, under penalty of civil and criminal liability, that the data provided is true and belongs to the User, or that you have express and recognized authorization to provide registration and contact details.

4 – Responsibility

NGX and its eventual shareholders, directors, managers, agents, employees and advertisers, as well as affiliates of NGX are not liable (individually or jointly) for any damages, direct or indirect, incidental, special, punitive or exemplary, of lost profits, loss of revenue and, among others, resulting from negligence, incompetence and/or imprudence, or any theory of fault, on the part of Users.

NGX may, at its discretion, seek, extra or judicially, liability for possible damages and transgressions of your rights, as well as violations of these Terms, regardless of prior notification.

NGX appreciates and welcomes any feedback and/or suggestions from researchers and authorities in cybersecurity/financial security, always seeking to strengthen the security of the platform and Users in relation to NGX. Therefore, in good faith, if any breach is discovered in relation to the platform's security, data privacy or other issues, it is recommended, first and before taking any action, that said breach be communicated to NGX. 

5 – General provisions

The Terms are subject to Brazilian legislation, preferably, and international legislation, protecting NGX and the User, the entirety of industrial and intellectual properties, as well as personal data, sensitive data and non-publishable information.

All conflicts must follow these Terms as a guideline, with all parties subjecting themselves, in the event of any omission of any kind from this Instrument, to Brazilian legislation for resolving the dispute.

If any part of these Terms is contrary to the legislative provision, only the inapplicable portion will be removed from the document, maintaining the remaining provisions in full.

Any failure by NGX to comply with these Terms will not symbolize their waiver, and they will remain in force in their entirety. 

It is entirely possible, at NGX's sole discretion, for its own obligations and rights to be transferred, even partially, to a third party, regardless of the User's consent. 

This Instrument does not allow the User to act in violation of the law, and requires full compliance in order to access and use the NGX platform.
